1. Agreement to these terms

These Terms & Conditions ("Terms") are a binding agreement between you and Toned Tech Consulting LLC ("TTC", "we", "us", "our"), the developer of the Taskami mobile app and related services ("Taskami" or the "app"). By downloading, opening, or using Taskami on iOS or Android, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the app.

2. Who can use Taskami

You must be at least 18 years old to use Taskami. Taskami is designed for adults: it is not directed to children or teenagers, and we do not knowingly collect information from anyone under 18. If you believe someone under 18 has provided us information, contact us and we will delete it. If you are using the app for someone else, you are responsible for their use under these Terms.

3. What Taskami is

Taskami is a companion app that helps you start and finish everyday tasks: a virtual companion that grows as you use it, gentle step-by-step task breakdowns, reminders, and related features. Some features are free; others are part of the paid subscription described below. We may add, change, or retire features over time to keep the app healthy and sustainable.

4. Your account

Taskami creates an anonymous identifier for your account so your progress can be saved. Your data is stored on your device and, when you have a network connection, also synced to our cloud (Google Firebase) under that anonymous identifier, so your companion and progress can survive a reinstall. We ask for your email address during setup and associate it with that identifier so we can contact you about your account. You can permanently delete everything, on your device and on our servers, at any time from Settings ("Delete my account and data"). You agree to provide accurate information and to keep it current. You are responsible for the activity under your account and on your device, and for keeping your device secure. Contact us at info@toned-tech.com if you believe your account has been compromised.

5. Subscriptions and billing

Taskami Paid is offered as an auto-renewing subscription (for example weekly, monthly, or yearly). Payment is charged to your Apple App Store or Google Play account when you confirm the purchase, at the price shown in the app in your local currency. Your subscription renews automatically at the end of each period, at the then-current price for that plan, unless you cancel at least 24 hours before the period ends. All billing is handled by Apple or Google, not by us; we never see or store your full payment card details.

6. Free trials

From time to time we may offer a free or reduced-price trial of Taskami Paid. If you start a trial, you will be charged only when the trial ends, unless you cancel at least 24 hours before it ends. Trials are limited to one per user where required by the app stores, and we may modify or end trial offers at any time.

7. Cancelling

You can cancel any time in your App Store or Google Play subscription settings (the app links you there). Cancelling stops the next renewal. You keep full paid access until the end of the period you already paid for; nothing is removed early.

You are responsible for cancelling your own subscription. Because Apple and Google manage all subscriptions, deleting the app, deleting your account, or removing your data does not automatically cancel an active subscription or stop future charges. To stop renewals, you must cancel directly in your App Store or Google Play subscription settings. TTC cannot cancel a subscription on your behalf and is not responsible for charges that result from deleting the app or your account without first cancelling.

8. Refunds

All purchases are final. To the maximum extent permitted by applicable law, we do not offer refunds or credits for any subscription period, including unused or partially used time. Instead, when you cancel, your paid access stays active until your current billing period expires and simply does not renew. Because Apple and Google process all purchases, any refund request must be made to them and is decided under their policies; we do not control their decisions. Nothing in this section limits statutory rights that cannot be waived where you live (for example certain EU or UK withdrawal rights).

9. Price changes

If a subscription price changes, the new price applies at your next renewal, and the store will notify you as its rules require. If you do not agree with a new price, you can cancel before the renewal and keep access until your paid period ends.

10. The free tier

The free tier gives you a real, usable app: a starter set of companions, a set number of daily task starts, and core features. Free limits and contents may be adjusted over time; we aim to always keep the free tier genuinely helpful.

11. Your content

You may enter text into Taskami, such as task descriptions, your first name, your companion's name, and your preferences ("Your Content"). You own Your Content. By entering it, you grant us a limited, worldwide, non-exclusive, royalty-free license to use, process, store, and display Your Content solely as needed to operate, personalize, and secure Taskami for you, including sending it to our AI provider to generate task steps and companion lines as described in these Terms and our Privacy Policy. You represent that Your Content is yours to provide and does not violate anyone else's rights or any law. We do not claim ownership of Your Content beyond this license. Please avoid typing sensitive personal information (such as health, financial, or government-identification details) into task text where you can.

12. AI-assisted content

Some task steps and companion lines are generated with the help of a third-party AI service. To do this, the text of the task you type (and, if you provided one, your first name and your companion's name) is sent to that service to generate a response. These suggestions are here to help you get moving, and they can occasionally be imperfect or not fit your situation. Use your own judgment, especially for anything involving safety, money, health, or legal matters. See the Privacy Policy for how this data is handled. You are solely responsible for how you use the app and any AI-assisted content, and for any actions or decisions you make based on it. To the extent permitted by law, TTC is not responsible for your use of the app or for any consequences of relying on AI-generated suggestions.

13. Not medical or professional advice; not for emergencies

Taskami is a self-help tool for focus and getting started. It is not a medical device, does not diagnose or treat any condition, and does not provide medical, psychological, therapeutic, financial, or legal advice. Nothing in the app creates a medical or other professional-patient relationship. The app is not for emergencies. If you think you have a medical or mental-health emergency, call 911 in the United States (or your local emergency services outside the US) or go to the nearest emergency room. If you are considering suicide, self-harm, or harming others, do not rely on the app. Call 911 or your local emergency services, or contact a crisis line right away; the app's Support resources screen lists options. You rely on the app's suggestions at your own discretion.

14. Acceptable use

You agree to use Taskami only for lawful, personal purposes, and not to: bypass or tamper with subscription checks, entitlements, or security; reverse engineer, decompile, or extract source code, models, prompts, or assets except where the law forbids that restriction; collect, harvest, or bulk-download content; interfere with or disrupt the service or its infrastructure; upload unlawful, harmful, or infringing content; use the app to build a competing product or to train machine-learning models on its content; or resell, rent, or commercially exploit the app. We may investigate and take appropriate action, including suspending access, for any misuse.

15. Your license to use Taskami

We grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use Taskami on devices you own or control, for your own personal, non-commercial use, subject to these Terms and to the usage rules of the app store you downloaded it from. The app is licensed to you, not sold. All rights not expressly granted are reserved.

16. Our content and intellectual property

Taskami's original content, including its code we authored, design, artwork, animations, companion characters and their names (such as Sprout, Gremlin, Sleepy Dragon, Robot Buddy, Ghost, Crow, Fox, and Duck), sounds, names, logos, and text, is owned by TTC and protected by copyright, trademark, and other laws. This does not cover third-party or open-source components, which remain the property of their respective owners and are used under their own licenses (listed in the app under the Open-source licenses screen). Except as these Terms or those licenses allow, you may not copy, modify, distribute, sell, sublicense, publicly display, or create derivative works from any part of the app. The Taskami name and companion characters may not be used without our written permission. See the Copyright & Licenses document for details, third-party notices, and our DMCA/copyright-complaint procedure.

17. Your feedback

If you send us ideas, suggestions, or feedback about Taskami, you grant us a perpetual, worldwide, royalty-free license to use them to improve the app, without any obligation or compensation to you. You confirm your feedback is your own to give and does not violate anyone else's rights.

18. Third-party services and stores

Taskami relies on third-party services to run, including the Apple App Store, Google Play, cloud hosting, subscription management, and an AI provider. Your use of the app is also subject to those parties' terms where they apply, and we are not responsible for their services, availability, or content. Links to third-party resources (such as support or crisis lines) are provided for convenience and are not endorsements.

19. Privacy

Our Privacy Policy explains what we collect, how we use and share it, and your choices, including deleting your data from the app's settings. The Privacy Policy is part of these Terms, and by using Taskami you agree to it.

20. Disclaimer of warranties

Taskami is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the app will be uninterrupted, timely, secure, error-free, or that any content or AI-generated suggestion will be accurate or suitable for you. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

21. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) Taskami, even if we have been advised of the possibility. Our total liability for all claims relating to the app is limited to the greater of the amount you paid us through the app in the 12 months before the claim, or USD 50. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

22. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless us and our affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, and reasonable legal costs arising out of your misuse of the app, your violation of these Terms, or your violation of any law or the rights of a third party.

23. Resolving disputes informally

If you have a concern, please contact us first at info@toned-tech.com so we can try to resolve it informally; most issues can be sorted out quickly this way. Please give us 60 days to work with you before starting any formal proceeding. If we cannot resolve a dispute informally, it will be handled under the arbitration and governing-law provisions below.

24. Binding arbitration and class-action waiver (United States)

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.

a. Agreement to arbitrate. Except for claims that may be brought in small-claims court, any dispute or claim arising out of or relating to these Terms, Taskami, or your use of the app will be resolved exclusively through final and binding individual arbitration, not in court. The Federal Arbitration Act governs this section. You and we each waive the right to a jury trial and to participate in a class or representative action.

b. No class actions. You and we agree that each may bring claims against the other only on an individual basis, and that the arbitrator may not consolidate claims or preside over any class or representative proceeding. The arbitrator may award relief only in favor of the individual party seeking relief.

c. Process. Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (adr.org). Unless we and you agree otherwise, hearings will be conducted by submission of documents, by telephone, or by video conference where the AAA Rules allow, or at a location reasonably convenient for both parties. The arbitrator's decision is final and enforceable in court, subject to very limited grounds of review. If your claim is for USD 10,000 or less, you may choose whether the arbitration is decided on documents, by phone, or in person.

d. Costs. Filing, administrative, and arbitrator fees are governed by the AAA Consumer Arbitration Rules, which place most of these costs on us for consumer claims; where those Rules require us to pay, we will. If any fee is not allocated by the Rules and you demonstrate that paying it would be prohibitive compared with going to court, we will pay the portion the arbitrator finds necessary to keep the arbitration from being cost-prohibitive. Each party otherwise bears its own attorneys' fees, except where a statute or the arbitrator provides otherwise.

e. Opt-out. You may opt out of this arbitration agreement by sending written notice to us within 30 days of first accepting these Terms. Your notice must include your name, your account email if you have one (or your device/account identifier if you do not), and a clear statement that you opt out of the arbitration agreement. Send it to info@toned-tech.com or 1700 South Lamar Blvd, Austin, TX 78704, USA. If you opt out, disputes will be resolved in court under the governing-law section below, to the extent permitted by applicable law.

f. Severability and future changes. If the class-action waiver is found unenforceable, the entire arbitration agreement is void and disputes go to court. If we change this arbitration section in the future, you may reject the change by written notice within 30 days, and the version in effect when you first accepted these Terms will continue to apply to you.

25. Governing law

These Terms are governed by the laws of the State of Texas, United States of America, without regard to its conflict-of-law rules. For any dispute not subject to arbitration, the courts located in Texas will have jurisdiction to the extent permitted by applicable law and where doing so does not impose an unreasonable burden on you. Mandatory consumer-protection rights of the country or state you live in remain unaffected.

26. Notice for California users

27. Export controls

You represent that you are not located in a country subject to a U.S. Government embargo or designated as supporting terrorism, and that you are not on any U.S. Government restricted-parties list. You agree to comply with all applicable U.S. and local export-control laws.

28. Changes to the app

We are always improving Taskami, and we may change, suspend, or discontinue any part of it at any time. Where a change materially reduces a paid feature you are actively paying for, we will act reasonably and in line with the store's rules.

29. Suspension and termination

We may suspend or end your access if you materially breach these Terms or misuse the service. You can stop using Taskami at any time and permanently delete your account and data (on your device and our servers) from Settings. Deleting your account does not cancel a paid subscription; you must cancel it yourself in your store settings (see "Cancelling" above). Sections that by their nature should survive termination (such as intellectual property, disclaimers, liability limits, indemnification, and dispute resolution) will survive.

30. Changes to these terms

We may update these Terms from time to time. If a change is material, we will give notice in the app before it takes effect. Continuing to use Taskami after a change means you accept the updated Terms. If you do not agree, please stop using the app.

31. General

These Terms and the Privacy Policy are the entire agreement between you and us about the app. If any provision is found unenforceable, the rest stays in effect. Our not enforcing a provision is not a waiver of it. You may not assign these Terms; we may assign them to a successor (for example in a merger or sale of the app). We are not liable for delays or failures caused by events beyond our reasonable control. You agree we may communicate with you electronically (in-app or by email), and that those communications satisfy any legal requirement to be in writing.

32. Apple App Store terms

If you use Taskami on iOS: these Terms are between you and us only, not Apple, and Apple is not responsible for the app or its content. Apple has no obligation to provide maintenance or support for the app. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation regarding the app. Apple is not responsible for addressing any claims relating to the app, including product-liability, regulatory, or consumer-protection claims, or third-party claims that the app infringes intellectual-property rights. You represent that you are not located in a country subject to a U.S. Government embargo or designated as terrorist-supporting, and that you are not on any U.S. Government restricted-parties list. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

33. Google Play terms

If you use Taskami on Android, your use must also comply with the Google Play Terms of Service. Google is not a party to these Terms and is not responsible for the app or its content.
